Terms of Service.

Effective Date: 16 July 2026

1. Introduction and Agreement

These Terms of Service ("Terms") govern your access to the Oslys website and the provision of any software engineering, web development, and cybersecurity consultancy services (the "Services") provided by Oslys Pty Ltd to you (the "Client", "you").

By accessing our website or engaging Oslys for Services, you agree to be bound by these Terms. If a specific Master Services Agreement (MSA) or Statement of Work (SOW) is executed between you and Oslys, the terms of that MSA or SOW will take precedence over these Terms to the extent of any inconsistency.

2. Scope of Services & Delivery

  1. Nature of Services: Oslys provides custom digital engineering and cybersecurity auditing/advisory services. The specific scope, deliverables, and timelines will be defined in a written SOW or formal proposal.
  2. Point-in-Time Assessments: Any cybersecurity audit, penetration test, or vulnerability assessment provided by Oslys is a "point-in-time" evaluation. The threat landscape is constantly evolving. A report indicating a secure posture upon delivery does not guarantee ongoing security against future vulnerabilities, zero-day exploits, or configuration changes made by the Client.

3. Client Obligations & Authorisations (Strictly Enforced)

Because our Services may involve probing networks and accessing sensitive infrastructure, the following obligations are absolute:

  1. Authority to Test: If you engage Oslys for penetration testing, vulnerability scanning, or security auditing, you formally warrant that you have full legal ownership of the target systems, or explicit, written authorisation from the system/infrastructure owner (e.g., AWS, Azure, third-party hosts) to permit such testing.
  2. Accurate Information: You agree to provide timely, accurate, and complete access to systems, codebases, and personnel as reasonably required for Oslys to perform the Services.
  3. Lawful Use: You agree not to use our Services, methodologies, or deliverables to facilitate any illegal activities, unauthorised access to third-party systems, or malicious cyber operations.

4. Intellectual Property (IP) Rights

  1. Client IP: Upon receipt of full payment for the Services, Oslys assigns to the Client the intellectual property rights to the specific, final custom deliverables (e.g., bespoke source code, final audit reports) created uniquely for the Client under the applicable SOW.
  2. Oslys Background IP: Oslys retains all ownership and intellectual property rights to any pre-existing code, tools, methodologies, frameworks, scripts, libraries, and analytical techniques ("Background IP") used or developed independently of the Client engagement. Oslys grants the Client a non-exclusive, non-transferable license to use the Background IP solely to the extent necessary to utilise the final deliverables.

5. Fees and Payment

  1. Payment Terms: Unless otherwise specified in an SOW, invoices are strictly payable within fourteen (14) days of the invoice date.
  2. Suspension of Service: Oslys reserves the right to halt development, withhold deliverables, or suspend ongoing security testing if payments are in arrears. IP rights to deliverables do not transfer to the Client until all associated invoices are paid in full.

6. No Guarantee of Absolute Security

While Oslys employs industry best practices, elite methodologies, and rigorous engineering standards, no digital system, software, or network can be guaranteed as 100% secure. Oslys expressly disclaims any implied warranty that our Services will render your systems immune to all cyber threats, unauthorised access, data breaches, or ransomware.

7. Limitation of Liability

To the maximum extent permitted by the Competition and Consumer Act 2010 (Cth) and other applicable Australian laws:

  1. Consequential Loss Excluded: Oslys shall not be liable to the Client or any third party for any indirect, special, incidental, punitive, or consequential damages. This includes, without limitation, loss of revenue, loss of profits, business interruption, loss of data, reputational damage, or any costs associated with ransomware payments or incident response initiated by third parties.
  2. Liability Cap: The total aggregate liability of Oslys for any claim arising out of or related to the Services (whether in contract, tort including negligence, statute, or otherwise) is strictly limited to the total fees paid by the Client to Oslys under the specific SOW from which the claim arose in the three (3) months preceding the event giving rise to the liability.

8. Indemnification

The Client agrees to indemnify, defend, and hold harmless Oslys Pty Ltd, its directors, employees, and subcontractors from any and all claims, lawsuits, fines, or damages arising out of:

  1. The Client's failure to obtain proper legal authorisation for Oslys to test or access third-party systems.
  2. The Client's misuse of Oslys deliverables.
  3. Any third-party claims resulting from a data breach on the Client's systems, provided Oslys operated within the agreed Scope of Work.

9. Confidentiality

Both parties agree to hold all proprietary, technical, and business information exchanged during the engagement in the strictest confidence. Neither party will disclose Confidential Information to any third party without prior written consent, except as required by law. This obligation survives the termination of these Terms.

10. Termination

  1. Either party may terminate an engagement with thirty (30) days written notice unless otherwise specified in an SOW.
  2. Oslys may terminate the engagement immediately if the Client breaches any material term of these Terms (specifically Clause 3 regarding legal authorisation) or fails to pay undisputed invoices.
  3. Upon termination, the Client must pay for all Services rendered and expenses incurred up to the date of termination.

11. Governing Law & Jurisdiction

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of New South Wales, Australia. Both parties irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.
